You may use our website and the Services only in accordance with these Terms and all applicable laws. We may modify, suspend, or discontinue any part of the Services at any time. Continued use of the Services after changes to these Terms constitutes acceptance of the revised Terms.

You agree that you will not, and will not permit anyone else to:

• Use the Services to send unsolicited messages, spam, or unlawful content.
• Upload or transmit malicious code, or attempt to disrupt or bypass security.
• Impersonate any person or misrepresent your affiliation with a dealership.
• Reverse engineer, resell, or sublicense the Services except as expressly permitted.
• Use the Services to violate any applicable telecommunications, consumer protection, or privacy law.

Lucy, the AI assistant inside Intelegi, uses artificial intelligence to draft, suggest, and (when explicitly enabled by the dealership) send responses on behalf of a dealership. AI-generated content is provided on an “as is” basis, may contain inaccuracies, and does not constitute legal, financial, or professional advice. Dealerships are responsible for reviewing and approving AI behavior configured on their account, and Customers should confirm material information (such as pricing, availability, financing terms, and vehicle condition) directly with the dealership before making a purchase decision.

Lucy is an AI-powered assistant available within the Intelegi platform. Lucy is not a separate legal entity. Intelegi is owned and operated by SR Prime Auto LLC.

Dealerships that use Intelegi are responsible for the accuracy of the information they provide, for lawful use of the platform, for maintaining consent records for any contact information they upload or import, for complying with all applicable messaging, advertising, and consumer-protection laws (including the TCPA, CAN-SPAM, state “Mini-TCPA” statutes, and CTIA messaging guidelines), and for the actions of the users they authorize on their account.

Customers who interact with a dealership through Intelegi agree to provide accurate contact information, to use the Services in good faith, and to comply with the instructions provided in messages (for example, replying STOP to opt out of SMS or HELP to receive assistance).

The Services, including all software, models, text, graphics, logos, and design elements, are owned by Intelegi or its licensors and are protected by intellectual-property laws. Dealers retain ownership of the data they upload; Dealers grant Intelegi a limited license to process that data solely to provide and improve the Services on the Dealer’s behalf.

• Users opt in voluntarily. Consent is not a condition of purchase.
• Message frequency varies depending on customer interaction.
• Message and data rates may apply.
• Reply STOP to cancel further messages at any time.
• Reply HELP for assistance.

To the maximum extent permitted by law, Intelegi and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Services. Our aggregate liability for any claim arising out of or related to the Services will not exceed the amounts you paid to us for the Services in the twelve months preceding the event giving rise to the claim.

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, unless otherwise required by applicable law.

Intelegi is a software platform owned and operated by SR Prime Auto LLC. “Lucy” is the AI assistant available within the Intelegi platform. All references to “Intelegi,” “we,” “our,” or “us” in our policies and on this website refer to services provided by SR Prime Auto LLC under the Intelegi brand.
